Ella Vacca is an associate attorney in the Corporate, Franchise and Transactions practice group at Caiola & Rose, focusing on corporate governance, mergers and acquisitions (M&A), venture capital transactions and franchise regulatory compliance. With several years of prior experience in handling complex corporate matters for clients in the technology industry, Ella brings a solid foundation in advising clients on both strategic business transactions and corporate and regulatory compliance.

Before joining Caiola & Rose, Ella worked at a prominent Atlanta law firm where she gained extensive experience in facilitating M&A deals, handling corporate formation and governance, and structuring venture capital investments. Ella has represented a wide range of clients, from startups to established enterprises, providing practical solutions in areas such as capitalization management, commercial contract negotiation, corporate governance policies, regulatory compliance, and deal structuring.

Since joining Caiola & Rose, Ella has expanded her practice to advise franchisors on franchise disclosure requirements, franchise registrations and exemptions, and compliant sales practices under state and federal regulations. Ella’s unique combination of transactional experience, together with her franchise knowledge, allows her to provide comprehensive counseling to clients who wish to start franchising their existing businesses, to buy or sell franchise businesses, or to invest in franchise systems.

Ella is known for her ability to work efficiently under pressure, offering clients clear, actionable advice on legal and business risks while remaining focused on their long-term objectives. Ella is committed to delivering high-quality legal services, helping clients with the complexities of corporate and franchise law in an ever-changing regulatory landscape.

Ella is admitted to practice in Georgia. Outside of work, Ella enjoys painting, traveling and enjoying all that Atlanta has to offer.
